ModelSpend Founding Beta Terms

Important: These beta terms have not been reviewed by a solicitor. They are provided in plain English on a good-faith basis to help you understand what participation involves. You should seek independent legal advice if you need certainty about your legal position before joining the beta or relying on the platform.

1. About the Founding Beta

The ModelSpend Founding Beta (“Beta”) is a pre-release evaluation programme operated by TheTekTeam (“we”, “us”, “ModelSpend”) at modelspend.best. The Beta gives selected participants early access to the ModelSpend AI cost-routing, governance, observability, and spend-management platform before general availability.

Participation is free for the duration of the campaign. Free access ends when the campaign countdown reaches zero, as displayed on the Founding Beta landing page. There is no automatic paid conversion at the end of the beta period.

2. Pre-release nature

The Beta is pre-release software. Features may change, be withdrawn, be temporarily unavailable, or behave differently from published descriptions. We cannot guarantee continuous availability, error-free operation, or that the platform will meet your specific requirements.

Outputs, cost estimates, routing decisions, forecasts, alerts, recommendations, analytics, and any other results produced by the platform may be incomplete, delayed, inaccurate, or incorrect. You should treat all outputs as indicative and subject to independent verification.

3. Your responsibilities

You agree to:

  • Use the Beta genuinely to evaluate the platform and not for any other purpose.
  • Report bugs, errors, confusing behaviour, and improvement suggestions through the support ticket system in the platform.
  • Review all outputs and apply your own judgement before acting on any result produced by the platform.
  • Keep any non-public information about the Beta confidential unless we have told you otherwise.
  • Not submit sensitive personal data, regulated data, confidential third-party data, or production credentials or secrets to the platform unless your organisation has approved that use and appropriate data-processing and confidentiality agreements are in place.
  • Not use the platform for any unlawful purpose.

4. Not for critical decisions

You must not rely on the Beta as the sole basis for financial, operational, legal, security, compliance, procurement, employment, medical, psychological, safety-critical, or other business-critical decisions. You remain solely responsible for reviewing outputs, validating decisions, and applying your own judgement before acting.

If you are using the platform to route or govern AI usage in an environment that could affect decisions of that kind, you should ensure that appropriate human oversight, independent verification, and safeguards are in place.

We strongly recommend seeking professional advice (legal, financial, technical, or other as appropriate) before making any important decision that could be influenced by platform outputs.

5. Acceptable use

You must not:

  • Use the Beta to process, store, or transmit unlawful content.
  • Attack, overload, disrupt, or attempt to impair the service or its infrastructure.
  • Attempt to bypass, circumvent, or disable access controls or security measures.
  • Reverse engineer, decompile, or extract protected parts of the system beyond what applicable law expressly permits.
  • Submit API keys, secrets, credentials, passwords, or sensitive third-party data unnecessarily or without appropriate authorisation.
  • Use the service as the sole decision-making basis for safety-critical systems, medical decisions, or regulated activities without appropriate independent verification and professional oversight.
  • Resell, sublicense, or otherwise transfer your Beta access to a third party.

We reserve the right to suspend or withdraw Beta access immediately if we reasonably believe these rules have been breached.

6. Free access and active use

Free beta access is provided for the duration of the campaign. Free access ends when the campaign countdown reaches zero. Users who join later receive free access only until the same campaign end date — free access does not extend from your join date.

Beta places are limited. If a participant does not make reasonable use of their free beta account within the first 30 days of access, ModelSpend reserves the right to withdraw that beta access and make the place available to another applicant. Reasonable use includes logging in, connecting an integration, creating a routing policy, running test usage through the platform, submitting feedback, or otherwise actively evaluating the service.

7. Enterprise Design Partner access

Enterprise Design Partner access is not self-serve. It is available only to organisations selected following an application and review process. Enterprise access may require additional confidentiality terms, non-disclosure agreements, and separate onboarding checks before access is granted. Submitting an application does not guarantee Enterprise Design Partner access.

8. Suspension and withdrawal of access

We may suspend, restrict, or withdraw your Beta access at any time if:

  • You breach these terms or our acceptable-use rules.
  • Your account presents a security risk.
  • Your account is inactive for 30 days or more after joining.
  • The Beta campaign is closed or significantly restructured.
  • We reasonably believe suspension is necessary to protect the service or other participants.

We will try to give you reasonable notice except where urgent action is required.

9. Data collection and privacy

During the Beta, ModelSpend may process account details, usage events, support tickets, diagnostic logs, integration metadata, configuration settings, and feedback in order to operate, secure, monitor, troubleshoot, and improve the service. This processing is subject to the Privacy Notice.

Do not submit sensitive personal data, regulated data, confidential third-party data, or production secrets to the platform unless your organisation has approved that use and appropriate agreements are in place.

10. Intellectual property

ModelSpend and all associated intellectual property remain the property of TheTekTeam. Participation in the Beta does not grant you any licence to copy, modify, distribute, or create derivative works of the platform, its code, or its content beyond what is necessary for genuine evaluation.

Any feedback, suggestions, or improvement ideas you share with us may be used by us to improve the platform without obligation, compensation, or attribution to you, unless we agree otherwise in writing.

11. Limitation of liability

To the maximum extent permitted by applicable law, ModelSpend, TheTekTeam, and their directors, employees, contractors, and associated companies:

  • Provide the Beta on an “as is” and “as available” basis without warranties of any kind, express or implied.
  • Are not responsible for any indirect, consequential, special, incidental, exemplary, or business-interruption losses or damages arising from your use of the Beta.
  • Are not responsible for any loss of profit, loss of data, loss of opportunity, loss of goodwill, or loss of anticipated savings arising from your use of the Beta.
  • Are not responsible for decisions made by you, your organisation, or any third party based on outputs produced by the Beta.

Nothing in these beta terms excludes or limits liability:

  • For death or personal injury caused by negligence.
  • For fraud or fraudulent misrepresentation.
  • In any other circumstances where applicable law does not allow that liability to be excluded or limited.

If you are a consumer (an individual acting for purposes outside your trade, business, craft, or profession), statutory consumer rights that cannot be excluded by contract are not affected by these terms.

12. Changes to these terms

We may update these Beta Terms from time to time. If we make material changes, we will take reasonable steps to notify participating users. Continued use of the Beta after notice of changes constitutes acceptance of the updated terms.

13. Governing law

These terms are governed by the laws of England and Wales, without regard to conflict of law principles, to the extent permitted by applicable law in your jurisdiction. Nothing in this clause affects any statutory rights you have in the jurisdiction where you are based.
