By accessing or using the ModelSpend platform (“Service”) you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
You must be at least 18 years of age and capable of entering a legally binding contract to use the Service. You are responsible for: maintaining the security and confidentiality of your login credentials; all activity that occurs under your account; notifying us promptly of any unauthorised access.
You may use the Service only for lawful purposes and in accordance with these Terms. You must not: use the Service to violate any applicable law or regulation; infringe the intellectual property or privacy rights of any third party; transmit malicious code, spam, or harmful content; attempt to gain unauthorised access to any part of the Service or its infrastructure; use the Service in a manner that could damage, overload, or impair the platform.
ModelSpend routes your AI API calls to third-party providers (such as OpenAI, Anthropic, and Google) using API keys you supply or that are provisioned through your account. You remain solely responsible for: compliance with each provider’s terms of service and acceptable use policies; any costs incurred with third-party providers; the content of prompts and outputs routed through the Service. We are not responsible for the content, accuracy, or availability of third-party AI models.
Paid plans are billed in advance on a monthly or annual basis as described at the time of purchase. All payments are processed by Stripe. Prices are subject to change with 30 days’ notice. Refunds are at our discretion except where required by applicable law. Your subscription renews automatically unless cancelled before the renewal date.
Free and beta accounts are provided “as is” without any service level commitment. We reserve the right to suspend or delete free and beta accounts that have had no activity for more than 30 consecutive days, with reasonable prior notice where practicable. Beta features may be changed, limited, or removed at any time.
The ModelSpend platform, brand, and all associated materials are the intellectual property of TheTekTeam. You retain all rights to your own data and content. By using the Service you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing and improving the Service as described in our Privacy Policy.
We aim to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled and emergency maintenance may cause temporary downtime. We will endeavour to give advance notice of planned maintenance where practicable.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that AI routing decisions will meet any particular quality or cost target.
To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of £100 or the total fees you paid to us in the three months immediately preceding the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
Either party may terminate these Terms at any time. We may suspend or terminate your account immediately for breach of these Terms or for non-payment. Upon termination, your right to use the Service ceases immediately. We will retain your data as described in our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
